Terms of Service

1. Agreement to Terms

By accessing or using Renameit ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Renameit. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Renameit is an AI-powered file renaming service that:

• Analyzes images you upload using artificial intelligence
• Generates descriptive filename suggestions based on image content
• Offers multiple renaming modes (Descriptive, Bulk Sequential, Clean Filename, Minimal, Date-based, SEO, and Custom)
• Provides optional image compression for Pro subscribers
• Allows batch processing and ZIP downloads

Important: We do not store your images. All images are processed in memory and permanently deleted immediately after processing.

3. User Accounts and Tiers

3.1 Account Registration

You may use the Service as an anonymous user or create an account. To create an account, you must:

• Be at least 13 years old (or 16 in the EU)
• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your account information

3.2 Service Tiers

We offer three service tiers:

• Anonymous: 3 renames per day, 1 renaming mode (Descriptive), no account required
• Free Account: 10 renames per day, 4 renaming modes (Descriptive, Bulk Sequential, Clean Filename, Minimal, Date-based), requires account
• Pro: Unlimited renames, all 6 renaming modes, image compression, priority support, requires paid subscription

3.3 Account Responsibility

You are responsible for all activity that occurs under your account. You must immediately notify us of any unauthorized use of your account at support@renameit.io.

4. Subscription Terms

4.1 Pro Subscription

Pro subscriptions are available on a monthly ($6/month) or annual ($48/year) basis. By subscribing, you agree to:

• Pay the subscription fee for your chosen billing period
• Automatic renewal unless cancelled before the renewal date
• Receive an email reminder before each renewal
• Current pricing at the time of renewal (we will notify you of price changes)

4.2 Payment Processing

All payments are processed by Polar.sh, our Merchant of Record. By subscribing, you agree to Polar.sh's terms and authorize them to charge your payment method.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will send you a reminder email at least 7 days before renewal.

4.4 Cancellation

You may cancel your Pro subscription at any time through your account dashboard or the Polar.sh customer portal. Upon cancellation:

• You will retain Pro access until the end of your current billing period
• Your account will automatically downgrade to Free tier after the period ends
• No refund will be provided for the remaining time in your billing period
• You may resubscribe at any time

4.5 Refunds

We offer a 14-day money-back guarantee for new Pro subscriptions. If you are not satisfied within the first 14 days of your initial subscription, contact us at support@renameit.io for a full refund. Refunds are not available for renewals or after the 14-day period.

4.6 Price Changes

We may change subscription prices at any time. Price changes will:

• Apply to new subscribers immediately
• Apply to existing subscribers at their next renewal
• Be communicated via email at least 30 days in advance
• Give you the option to cancel before the new price takes effect

4.7 Failed Payments

If a payment fails, we will:

• Attempt to charge your payment method up to 3 times over 10 days
• Send you email notifications about the failed payment
• Suspend your Pro access if payment is not received within 10 days
• Allow you to update your payment method to restore access

5. Usage Limits and Restrictions

5.1 Daily Limits

Free and Anonymous users are subject to daily rename limits. Limits reset 24 hours after your first rename of the day. Attempting to exceed your limit will result in an error message.

5.2 Batch Limits

All users may upload a maximum of 20 images per batch, regardless of tier.

5.3 File Requirements

Uploaded files must:

• Be valid image files (JPG, PNG, WebP, GIF, or other common formats)
• Not exceed 10 MB per file
• Not contain malware, viruses, or malicious code

6. Acceptable Use Policy

6.1 Prohibited Content

You may not upload images that:

• Are illegal, fraudulent, or violate any applicable laws
• Infringe on intellectual property rights of others
• Contain child sexual abuse material (CSAM)
• Contain explicit sexual or violent content intended to harm
• Promote terrorism, hate speech, or violence
• Violate others' privacy or contain personal information without consent

6.2 Prohibited Activities

You may not:

• Attempt to circumvent usage limits or access restrictions
• Use automated tools (bots, scrapers) without our written permission
• Reverse engineer, decompile, or attempt to extract source code
• Interfere with the Service's operation or security
• Use the Service to harm others or violate their rights
• Resell, redistribute, or commercialize the Service without authorization
• Share your account credentials with others

6.3 Enforcement

Violations of this Acceptable Use Policy may result in:

• Immediate suspension or termination of your account
• Removal of content
• Loss of Pro subscription without refund
• Reporting to law enforcement if required by law
• Legal action for damages

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to the images you upload. By using the Service, you grant us a limited, temporary license to:

• Process your images through our AI system
• Transmit your images to OpenAI for analysis
• Generate filename suggestions based on your images

This license terminates immediately when your images are deleted (within seconds of processing).

7.2 Our Intellectual Property

The Service, including all software, design, text, graphics, logos, and functionality, is owned by Renameit and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks or branding without permission
• Remove or alter any copyright notices

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unlimited, perpetual, royalty-free license to use, modify, and incorporate that feedback without compensation or attribution.

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. Key points:

• We do not store your uploaded images
• Images are deleted immediately after processing
• We collect minimal account and usage data
• Your data is processed in accordance with GDPR, CCPA, and other privacy laws

9. Disclaimers and Warranties

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, secure, or error-free operation
• Accuracy, reliability, or completeness of AI-generated filename suggestions
• Compatibility with your specific use case or requirements

9.2 AI Limitations

Our AI-powered renaming suggestions are generated automatically and may not always be accurate, appropriate, or suitable for your needs. You are responsible for:

• Reviewing all suggested filenames before use
• Editing or rejecting inappropriate suggestions
• Ensuring renamed files meet your requirements
• Maintaining backups of original files

9.3 No Uptime Guarantee

We do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, technical issues, or factors beyond our control.

9.4 Third-Party Services

The Service relies on third-party providers (OpenAI, Clerk, Polar.sh, Vercel, Neon). We are not responsible for failures, outages, or issues caused by these third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENAMEIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• ERRORS, MISTAKES, OR INACCURACIES IN AI-GENERATED CONTENT
• ANY DAMAGES ARISING FROM USE OF THIRD-PARTY SERVICES

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Renameit, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of others
• Content you upload to the Service
• Your violation of applicable laws

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through your account settings
• Contacting us at support@renameit.io

If you have an active Pro subscription, you should cancel it before deleting your account to avoid future charges.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Failure to pay subscription fees
• Abuse of the Service or other users
• Any reason we deem necessary to protect our business or users

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We will delete your account data within 30 days
• Paid subscriptions are not refundable (except as stated in Section 4.5)
• Sections that should survive termination (e.g., liability, indemnification) will continue to apply

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal action, you agree to first contact us at support@renameit.io to attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

13.3 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

13.4 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

13.5 Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Post the updated Terms on our website
• Notify registered users via email for material changes
• Provide at least 30 days' notice before material changes take effect

Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Renameit regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, labor disputes, or internet service provider failures.

15.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use the Service if you are located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.
